Terms for ASIOS applications and services.

These Terms and Conditions apply to ASIOS LLC applications, websites, paid features, and related services.

ASIOS LLC ("ASIOS," "we," "our," or "us") provides mobile applications, websites, and related features and services. These Terms and Conditions ("Terms") govern your access to and use of those services (collectively, the "Services").

These Terms apply across our application portfolio, including Become and Faro. An app-specific disclosure or additional term may supplement these Terms where a particular feature requires it.

1. Agreement to These Terms

By downloading, accessing, purchasing, or using any Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

For applications downloaded from Apple's App Store, your license to use the application is also governed by Apple's standard Licensed Application End User License Agreement ("Apple Standard EULA"), unless a custom end user license agreement is provided through Apple. These Terms supplement, and do not replace or conflict with, the Apple Standard EULA.

2. Eligibility

The Services are designed for a general audience and are not directed to children. You must be at least 13 years old to use the Services. If you are under the age of legal majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian who accepts these Terms on your behalf.

You must be legally capable of entering into a binding contract to purchase a subscription or other paid offering.

3. Our Applications

Our current application portfolio includes:

  • Become: An inspiration and motivation application providing quotes and related features focused on wellness, fitness, mental improvement, and focus. Users may choose photos or use the camera to set quote backgrounds.
  • Faro: A recurring expense and subscription organization application that helps users track subscriptions and recurring expenses. Users may choose images of documentation for on-device text recognition to help enter expense information.

Features may differ by app, version, device, territory, or subscription level. We may release additional applications or update features over time.

4. Personal Use License and Ownership

Subject to these Terms and any applicable app store license terms, ASIOS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes.

ASIOS and its licensors retain all rights in the Services, including software, visual design, branding, text, graphics, quote presentation, paywalls, and other materials provided through the Services, excluding content that you lawfully provide.

5. Your Content and On-Device Processing

Some Services let you enter text or select, capture, or process images on your device. You are responsible for ensuring that you have the right to use any content you provide to an app.

In the current versions of Become and Faro, user-entered text, selected images, captured images, and recognized document text used for the core app functionality are stored and processed locally on your device. ASIOS does not receive that content through those features. Because the content remains on your device, you are responsible for securing and backing up your device and for deleting local content when desired.

If an updated or future Service provides cloud synchronization, accounts, remote processing, artificial intelligence processing, or another feature that transmits user content to us or a service provider, we will provide applicable disclosures before that feature is used.

6. Wellness and Financial Organization Disclaimers

Become provides inspirational and motivational content for general informational and personal reflection purposes. It is not medical, mental health, fitness, or other professional advice and is not intended to diagnose, treat, cure, or prevent any condition.

Faro is an organizational tool intended to help you record and review recurring expenses and subscriptions. It does not provide financial, accounting, tax, or legal advice. On-device text recognition and user-entered records may be incomplete or inaccurate. You remain responsible for checking amounts, renewal dates, payment obligations, cancellations, and information from the applicable merchant or platform.

7. Subscriptions, Trials, and Paid Access

Some Services offer premium access through auto-renewable weekly, monthly, or yearly subscriptions, free trials where displayed, or lifetime access offerings. The available offering, price, billing period, trial length, and included features are presented in the relevant app before purchase.

For iOS applications, purchases are processed through Apple's App Store using your Apple Account. Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current subscription or trial period, as described by Apple and in the applicable purchase screen. Your Apple Account may be charged for renewal within 24 hours before the current period ends.

If a free trial is offered, the trial duration will be displayed before enrollment. Unless cancelled before the trial ends, the trial converts to the paid subscription selected at enrollment. You can manage or cancel subscriptions through your Apple Account subscription settings. Refunds and billing disputes for App Store transactions are handled subject to Apple's policies.

A lifetime access offering, if made available, provides access to the covered premium features for the supported lifetime of that applicable Service, not your personal lifetime and not necessarily every future ASIOS product or separate service.

8. Acceptable Use

You agree not to:

  • Use the Services in violation of applicable law or the rights of another person.
  • Copy, distribute, sell, sublicense, scrape, reverse engineer, decompile, or attempt to extract source code from the Services except where applicable law expressly permits it.
  • Interfere with, disrupt, circumvent, or attempt unauthorized access to any Service, system, purchase control, or security feature.
  • Use automated means to access or burden a Service in a manner inconsistent with its intended personal use.
  • Submit content that is unlawful, infringing, or that you do not have permission to use.

9. Third-Party Services

The Services may use or link to third-party services, including Apple's App Store and device functionality, subscription and paywall providers, analytics services, and external websites. Third-party services are governed by their own terms and privacy policies. ASIOS is not responsible for third-party services outside our control.

10. Availability and Changes to the Services

We may change, update, suspend, or discontinue a Service or a feature where reasonably necessary, subject to applicable law and any obligations relating to paid access already purchased. We do not guarantee that every feature will be available on every device, platform, or in every location.

11. Suspension and Termination

You may stop using a Service at any time. Deleting an app does not automatically cancel an active subscription; subscriptions must be managed through the applicable app store account.

We may suspend or terminate access to a Service if you violate these Terms, misuse a Service, or if suspension is reasonably necessary to protect users, ASIOS, or applicable legal requirements.

12. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. ASIOS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by applicable law and do not limit mandatory consumer rights.

13. Limitation of Liability

To the maximum extent permitted by applicable law, ASIOS will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, profits, or opportunities arising out of or related to your use of a Service.

To the maximum extent permitted by applicable law, ASIOS's total liability for claims arising from a Service will not exceed the greater of the amount you paid to ASIOS through the applicable Service in the twelve months preceding the claim or one hundred U.S. dollars (USD $100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles, except to the extent mandatory consumer protection laws in your place of residence apply.

Unless mandatory law provides otherwise, any dispute arising from these Terms or the Services will be brought in the state or federal courts having jurisdiction in New York, and you and ASIOS consent to those courts' jurisdiction.

15. Changes to These Terms

We may update these Terms as our Services evolve or as legal requirements change. We will post updated Terms with a revised effective or last-updated date and provide additional notice where required by applicable law. Your continued use of a Service after updated Terms take effect constitutes acceptance of the updated Terms.

16. General Terms

If a provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not transfer your rights or obligations under these Terms without our consent.
